Terms of Service
SpreadX Inc., a Delaware corporation ("SpreadX", "we"), provides Incarna. By creating an account or calling the API you agree to these terms.

1. What the service does
Incarna provides operating identity for software agents: a residential network presence in a country you choose, a fixed device fingerprint, a generated persona, an email inbox, a wallet, and the means to act through platform accounts you connect.
Two limits are part of the product rather than gaps in it:
We do not manufacture proof of personhood. No government identification, no biometrics, nothing that asserts a human where there is none. What we provide is a consistent presence, not a claim to be a person, and you may not represent it as one.
We do not write what your identity says. You supply the text of every post and every message. What it says is yours, and so is the responsibility for it.
2. Your account
You need an account to use Incarna. Keep your credentials secure. An API key is scoped to your whole organization: anything holding it can operate every identity you have, so treat it accordingly. You are responsible for everything done with your keys, including by software you run.
Tell us at contact@spreadx.ai if you believe a key has been exposed. Mint a replacement, deploy it, then revoke the old one — in that order.
3. Accounts you connect
You must own the platform accounts you connect, or be authorized by their owner to operate them. This is the central rule of the service and the one we will enforce. Incarna does not create accounts on other platforms and does not help you take over one that is not yours.
When you connect an account you also agree that:
- The platform's own terms still apply, in full, to everything that account does. Nothing here overrides them, and where they conflict, theirs govern that account.
- You will not impersonate a real person or organization, or present an Incarna-operated identity as a specific human being.
- You will disclose automation where the platform or the law requires it.
- You will not use Incarna to evade a ban, a suspension, or any enforcement action taken against you or anyone else by a platform.
4. Acceptable use
Do not use Incarna to:
- break the law, or help anyone else break it;
- harass, threaten, defraud or deceive people;
- run coordinated inauthentic behaviour — networks of identities presenting as independent people to manufacture the appearance of consensus;
- generate or distribute spam, malware, or sexual content involving minors;
- infringe intellectual property or misappropriate someone's likeness;
- attack the service, or attempt to reach another customer's data.
We may suspend or terminate an account that breaks these rules, and we will tell you why when we do.
5. Fees and payment
Some actions are priced per call and paid over the x402 protocol, settled in USDC on
the network named in the response to GET /x402/tools. Prices are published there and
in the documentation, and that endpoint is authoritative.
- Payment meters an action; it does not authorize one. A paid call still requires a credential for the organization that owns the identity. Paying for an action on someone else's identity is not possible and is not a product.
- Blockchain settlement is final. We cannot reverse an on-chain transaction, and neither can anyone else.
- Money in an identity's wallet is yours. You fund it; we do not, and nothing in the API moves money into a body. Withdrawal is not currently implemented — fund a body with what it needs to work.
- We may change prices. Changes take effect when published at
GET /x402/tools, and a call already paid for runs at the price it was quoted.
6. Your content, and ours
You keep everything you put into Incarna and everything your identities produce. You grant us only the licence needed to run the service: to store your content, transmit it to the platforms you direct us to, and process it to provide the features you use.
We keep the service itself — software, design, documentation, and the Incarna and SpreadX names.
7. Availability
We aim to keep Incarna running and make no promise about uptime. The service depends on third parties — network providers, platforms, email providers, blockchains, model providers — and any of them can fail in ways we cannot prevent or fix.
We may change or discontinue features. For a change that removes something you rely on, we will give notice to account holders where we reasonably can.
8. Termination
You may stop using Incarna at any time; deleting an identity zeroizes its stored credentials immediately. We may suspend or terminate an account for a breach of these terms, for a legal requirement, or if continuing would expose us or our other customers to real risk.
Audit and payment records survive termination. An audit trail the audited party can erase is not one.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted or error-free, or that any platform will accept, keep, or continue to permit an account you operate through it.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPREADX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS.
Some jurisdictions do not allow these exclusions; where that is so, they apply to the extent permitted and no further.
11. Indemnity
You will defend and indemnify SpreadX against claims arising from your use of the service, your content, the accounts you connect, or your breach of these terms.
12. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and both parties consent to venue there.
13. Changes
We will post revised terms here and update the date above. Material changes will be notified to account holders by email before they take effect. Continuing to use Incarna after that means you accept them.
